To the administrations of industry and commerce and the departments of commerce in all provinces, autonomous regions, municipalities, separately planned cities and sub-provincial cities and the bureau of commerce of the Xinjiang Production and Construction Force,

The "Measures on Liquidating Foreign-Invested Enterprises" (hereinafter referred to as the "Liquidation Measures") are repealed by Decree of State Council No. 516, "Decisions on Repealing Certain Administrative Regulations". To clarify the laws applicable to dissolution, liquidation and deregistration of foreign-invested enterprises after the repeal of the "Liquidation Measures", regulate the procedures for approving dissolution and deregistration and enhance the mechanisms for withdrawal of foreign-invested enterprises, the matters regarding the administration of dissolving, liquidating and deregistering foreign-invested enterprises are hereby announced as follows:

I. Applicability - According to the rules governing the application of laws under the "Practical Opinions Concerning the Laws Applicable to the Company Registration for Foreign Investments" (Gongshangwaiqizi No. 81 / 2006), dissolution, liquidation and deregistration of foreign-invested companies shall be bound by the "Company Law" and "Company Registration Regulations".
