The administrations for industry and commerce of provinces, autonomous regions, municipalities directly under the central government, cities specifically designated in the state plan and sub-provincial cities,

The Partnership Enterprise Law of the People's Republic of China newly amended by the 10th National People's Congress and the Administrative Measures for the Registration of Partnership Enterprises newly amended by the State Council shall come into effect as of June 1, 2007. The new Partnership Enterprise Law of the People's Republic of China and the Administrative Measures for the Registration of Partnership Enterprises have enriched the types of partnership enterprises and enlarged the scope of partners of the nation, which will play an active role in establishing the legal status of partnership enterprises, regulating the establishment, operation and registration of partnership enterprises, protecting the lawful rights and interests of partnership enterprises and their partners, encouraging private investment and promoting economic development. The industry and commerce administrative authorities at all levels shall carefully study, fully understand and thoroughly implement the new Partnership Enterprise Law of the People's Republic of China and the Administrative Measures for the Registration of Partnership Enterprises to give full play to the functions of industry and commerce administration, actively perform their duties and improve the administration of registration and services of partnership enterprises. To ensure the protection and thorough implementation of laws and administrative regulations, the relevant issues are hereby notified as follows.

I. Registration and Jurisdiction
The branches at the district level of administrations for industry and commerce of municipalities directly under the central government and municipalities with districts may register partnership enterprises in accordance with Paragraph Two of Article 4 of the Administrative Measures for the Registration of Partnership Enterprises.
Special general partnership enterprises and limited liability partnership enterprises shall normally be registered with the administrations for industry and commerce of provinces, autonomous regions, municipalities directly under the central government and municipalities with districts in accordance with Paragraph Four of Article 4 of the Administrative Measures for the Registration of Partnership Enterprises.
