To further improve the fairness and transparency of the disciplinary punishments of the Exchange and more fully give defense right to listed companies, the Exchange has drafted the Detailed Rules of the Shenzhen Stock Exchange for the Hearing Procedures of Disciplinary Punishments in light of the regulatory practices and in accordance with the Securities Law, the Administrative Measures for the Securities Exchange and other laws, regulations, departmental rules, the Articles of Association of the Exchange, and the Detailed Rules for the Implementation of the Measures for Self-regulation and Discipline Punishments (for Trail Implementation), the Detail Rules for the Procedures of Disciplinary Punishments and other business rules, which are hereby issued to you for compliance and implementation.

Detailed Rules of the Shenzhen Stock Exchange for the Hearing Procedures of Disciplinary Punishments
Article 1 In order to ensure the impartiality and fairness of the disciplinary punishments of the Shenzhen Stock Exchange (hereinafter referred to as the Exchange), these Detailed Rules are formulated in accordance with the Securities Law, the Administrative Measures for the Securities Exchange and other laws, regulations, departmental rules, and relevant provisions of the Articles of Association of the Exchange and business rules.
Article 2 These Detailed Rules shall apply to the organization of hearing when the Exchange is about to give public censure to a listed company on small and medium-sized enterprises board or from the growth enterprise market (hereinafter referred to as the party) and the party requests for a hearing.
Article 3 The Disciplinary Punishment Committee of the Exchange shall perform the duty of disciplinary punishment hearing of the Exchange, which shall be organized in the form of disciplinary punishment hearing (hereinafter referred to as the hearing).
Article 4 The commissioners of the hearing shall be held by commissioners from the Disciplinary Punishment Committee of the Exchange.
