SAMR Issues Industry Standard Entitled Specification for Notification of Concentrations of Undertakings

The State Administration for Market Regulation (SAMR) has released the Specification for Notification of Concentrations of Undertakings (the "Specification"), with effect from October 1, 2025.

The Specification, consisting of six chapters and six appendices, sets forth the notification conditions, submission materials, and procedures for concentrations of undertakings. The Specification: (1) clarifies the circumstances under which enterprises are required to file a notification of concentrations of undertakings, including cases that constitute a concentration of undertakings, cases that meet the notification thresholds stipulated by the State Council, cases where notifications are made but thresholds are not met, and cases where notification is exempted, thereby reminding enterprises of their compliance obligations; (2) specifies the documents and materials to be submitted by enterprises when filing a notification, together with the relevant requirements and explanations, including the main contents of the notification form and the requirements for simplified notifications, which aims to help enterprises complete the forms and materials in a standardized and accurate manner, and enhance the efficiency in the notification process; and (3) clarifies how enterprises should prepare and submit the notification documents and materials, as well as the acceptance and review process after submission, which provides enterprises with greater predictability.
